A typical agreement covers the scope of technology being transferred, IP ownership rights, payment terms, technical assistance and training, warranties, indemnities, confidentiality obligations, improvement ownership, and termination provisions.
We carefully define "background IP" (pre-existing) and "foreground IP" (newly created). Foreground IP can be owned jointly, by one party with a license back, or divided by field of use — depending on each party's contributions and commercial objectives.
Depending on the technology, ITAR (defense articles), EAR (dual-use items), or EU dual-use regulations may apply. We conduct export classification reviews and build compliance obligations directly into the transfer agreement to prevent violations.
